Through a comparative analysis of the legal regulation of corporations worldwide, this course aims to provide students with an understanding of how companies operate within a legal framework and how company law deals with competing interests. This course will focus on the main characteristics of the corporate form, the agency theory and the solutions company law provides for related problems, the rules on fundamental changes to the company, such as capital increase/decrease, mergers and takeovers etc. In addition, the students will gain an understanding of the stakeholders’ theory, as well as corporate governance principles. The course concludes with a basic overview of corporate insolvency.
